1. Description of Services

PartnerLinks provides creator referral, attribution, creator participation, commission accounting, operational reporting, and related commerce infrastructure tools for brands, merchants, creators, and affiliates.

PartnerLinks is designed to assist merchants with creator referral tracking, creator onboarding, attribution infrastructure, commission accounting, creator participation, operational reporting, refund and reversal reconciliation, referral link management, and creator relationship infrastructure.

PartnerLinks is not a payment processor, bank, brokerage, data brokerage platform, behavioral advertising platform, guaranteed earnings platform, non-commerce rewards platform, or unsupported rewards program. PartnerLinks attempts to operate using a least-privilege and operationally necessary data-access model.

2. Eligibility

You may use the Services only if you are legally capable of entering into binding agreements, comply with applicable laws and platform requirements, provide accurate account and operational information, and your use of the Services does not violate Shopify, Stripe, or other platform policies.

You may not use the Services if your account has been suspended or terminated by PartnerLinks.

3. Merchant Responsibilities

Merchants remain solely responsible for creator relationships, marketing claims, product fulfillment, customer support, taxes, legal compliance, payout decisions, creator compensation decisions, refund handling, and operational review of creator activity.

PartnerLinks provides operational infrastructure tools only and does not assume responsibility for merchant business operations. Merchants are responsible for maintaining accurate store, account, and operational information.

4. Creator and Affiliate Responsibilities

Creators, affiliates, ambassadors, and related participants remain responsible for lawful promotional activity, truthful advertising, platform-rule compliance, FTC disclosure compliance, and avoiding deceptive, spammy, fraudulent, or unauthorized activity.

Creators may not impersonate merchants or customers, generate fraudulent orders, manipulate attribution systems, attempt unauthorized payout activity, misuse referral systems, or violate Shopify, Stripe, social platform, or applicable platform rules. PartnerLinks may investigate suspicious creator activity and take operational enforcement actions where necessary.

5. Attribution and Referral Tracking

PartnerLinks attempts to provide deterministic attribution and referral tracking systems using operational safeguards reasonably designed to reduce duplicate attribution, replay inconsistencies, attribution manipulation, cross-brand contamination, and invalid commission events.

Attribution events may depend on referral links, cookies, operational attribution windows, session data, platform integrations, Shopify operational data, and reconciliation systems. PartnerLinks does not guarantee uninterrupted or perfectly accurate attribution under all technical conditions.

6. Pending vs Claimable Earnings

Displayed earnings statuses may include pending, processing, under review, claimable, reversed, or restricted. Pending earnings are not guaranteed payouts.

Claimable status may depend on merchant approval, refund or reversal activity, fraud review, operational reconciliation, attribution validation, payout eligibility checks, and platform compliance review. PartnerLinks reserves the right to delay, restrict, reverse, investigate, or prevent earnings-related actions where operational inconsistencies, fraud indicators, refund activity, abuse, or policy violations are suspected.

7. Refunds, Reversals, and Adjustments

Refunds, chargebacks, cancellations, disputed orders, reversed transactions, or invalid attribution events may result in commission reversals, earning adjustments, payout restrictions, operational review, or reconciliation adjustments.

PartnerLinks may maintain operational safeguards intended to reduce duplicate payouts and inconsistent settlement behavior. PartnerLinks may perform operational reconciliation before earnings become claimable.

8. Payout Eligibility and Restrictions

PartnerLinks may facilitate payout-related workflows, operational payout tracking, creator payout visibility, or related payout infrastructure. However, PartnerLinks does not guarantee payouts, payout eligibility may be restricted, payouts may require additional verification, and payouts may depend on merchant configuration, operational status, reconciliation review, or platform compliance.

PartnerLinks may restrict or delay payout-related actions where fraud is suspected, refund activity is excessive, attribution inconsistencies exist, platform violations are detected, or operational review is required. Sandbox, testing, or beta systems are not guaranteed production payout systems.

9. Fraud, Abuse, and Operational Enforcement

PartnerLinks may investigate, restrict, suspend, reverse, or terminate activity involving fraudulent referrals, fake orders, attribution manipulation, payout abuse, operational abuse, deceptive conduct, platform policy violations, unauthorized automation, or operational security threats.

PartnerLinks may implement replay protections, idempotency protections, operational monitoring, account restrictions, rate limiting, audit logging, environment separation, and operational verification systems. PartnerLinks reserves the right to take actions reasonably necessary to protect platform integrity, merchants, creators, customers, and operational infrastructure.

10. Shopify, Stripe, and Third-Party Platform Compliance

Use of the Services may involve integrations with Shopify, Stripe, Supabase, Railway, social platforms, analytics providers, and operational infrastructure providers. Users remain responsible for complying with Shopify Terms, Stripe requirements, applicable platform rules, API usage rules, and applicable laws and regulations.

PartnerLinks may restrict or disable integrations where required for platform compliance or operational security.

11. Data Access and Least-Privilege Usage

PartnerLinks attempts to follow a minimum-necessary-data operational model and limit access, processing, retention, and operational exposure of data to what is reasonably necessary for attribution infrastructure, commission accounting, refund reconciliation, fraud prevention, operational reporting, creator relationship infrastructure, support, and troubleshooting.

PartnerLinks does not intentionally sell customer personal information, provide unrestricted customer-data access to creators, store full payment card information, store Shopify customer passwords, or request unnecessary protected customer data. Role-based operational visibility controls may apply.

12. Protected Customer Data

Certain Shopify webhook topics, operational events, or commerce data may involve protected customer data subject to Shopify review, approval requirements, or operational restrictions.

PartnerLinks attempts to access only operationally necessary protected customer data required for attribution processing, creator commission accounting, refund reconciliation, fraud prevention, and operational auditing. PartnerLinks attempts to maintain operational safeguards reasonably designed to reduce unnecessary customer-data exposure.

13. Account Security

Users are responsible for maintaining account security, protecting authentication credentials, restricting unauthorized access, and maintaining accurate operational contact information.

Users may not share passwords, API keys, webhook secrets, private keys, or authentication credentials. PartnerLinks support will never request full payment card details, passwords, or private keys.

14. Operational Integrity and Auditability

PartnerLinks may use operational controls and infrastructure safeguards including webhook authenticity verification, replay protections, idempotency protections, audit logging, operational monitoring, environment separation, scoped access controls, and operational reconciliation workflows.

No internet-based service can guarantee uninterrupted availability or absolute security.

15. Suspension and Termination

PartnerLinks may suspend, restrict, or terminate access where these Terms are violated, fraud or abuse is suspected, operational security concerns arise, platform compliance issues occur, unlawful activity is detected, or platform integrity is threatened.

Users may discontinue use of the Services at any time. Certain operational records may be retained where reasonably necessary for reconciliation, fraud prevention, legal obligations, operational auditing, or dispute resolution.

16. Sandbox and Beta Services

Certain features, workflows, payout systems, integrations, operational tools, or support systems may be beta, sandbox-only, experimental, or under operational review.

Sandbox or beta systems may change without notice, may contain limitations, may not represent production-ready financial systems, and may not support live payout operations. PartnerLinks may disable or modify beta functionality at any time.

17. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. PartnerLinks disclaims warranties including merchantability, fitness for a particular purpose, uninterrupted availability, error-free operation, guaranteed attribution accuracy, guaranteed payout eligibility, and guaranteed earnings.

PartnerLinks does not guarantee that the Services will operate without interruption or operational limitations.

18. Limitation of Liability

To the maximum extent permitted by law, PartnerLinks shall not be liable for lost profits, lost revenue, indirect damages, consequential damages, operational interruptions, attribution discrepancies, payout delays, refund-related losses, creator disputes, merchant disputes, or platform-provider disruptions.

PartnerLinks' aggregate liability shall not exceed the amount paid to PartnerLinks for use of the Services during the twelve (12) months preceding the applicable claim.

19. Changes to These Terms

PartnerLinks may update these Terms periodically. Updated Terms become effective upon posting. Continued use of the Services after updates constitutes acceptance of the revised Terms.
